Welcome to ProShift HRMS Portal (“ProShift”, “we”, “our”, or “us”). These Terms and Conditions govern your access to and use of the ProShift HRMS Portal, including any related website, software, services, applications, and features (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Platform.

1. Eligibility

You may use the Platform only if you are authorized to do so by your employer, organization, or business entity,
 and you have the legal capacity to enter into these Terms.

2. Scope of Services

ProShift HRMS Portal is a human resource management system that may include, but is not limited to, the following services:

  • employee profile management
  • attendance and time tracking
  • leave and shift management
  • payroll-related records
  • recruitment and onboarding support
  • document storage and workforce administration
  • reporting and analytics

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without prior notice.

3. User Accounts

To access certain features, users may be required to create an account or be provided login credentials by their organization.

You agree to:

  • provide accurate and complete information
  • keep your login credentials confidential
  • be responsible for all activities under your account
  • notify us immediately of any unauthorized access or security breach

We are not responsible for any loss arising from unauthorized use of your account due to your failure to safeguard login credentials.

 

4. Acceptable Use

 

You agree not to:

  • use the Platform for any unlawful, fraudulent, or unauthorized purpose
  • upload false, misleading, or harmful information
  • interfere with or disrupt the integrity or performance of the Platform
  • attempt to gain unauthorized access to any account, system, or network
  • copy, reproduce, reverse engineer, distribute, or exploit any part of the Platform except as permitted by law or with our written consent
  • use the Platform to transmit malware, viruses, or other harmful code

5. Employer and Organization Responsibility

 

If you are an employer, administrator, or organization using ProShift, you are responsible for:

  • ensuring that the data you upload or process is lawful and accurate
  • obtaining all required employee consents or legal permissions where applicable
  • configuring roles, permissions, and access rights appropriately
  • complying with all employment, labor, payroll, tax, and privacy laws applicable to your jurisdiction

ProShift does not provide legal, tax, accounting, or employment law advice.

 

6. Employee and User Responsibility

 

Employees and individual users are responsible for ensuring that the information they provide on the Platform is accurate and updated, including profile details, attendance submissions, leave requests, and uploaded documents where applicable.

 

7. Data and Records

 

The Platform may store employee, company, attendance, payroll, leave, and other HR-related information. While we take reasonable measures to maintain availability and integrity, we do not guarantee that records will always be error-free, uninterrupted, or available at all times.

Users and organizations are encouraged to maintain backup copies of important data and documents where necessary.


8. Intellectual Property

 

All rights, title, and interest in and to the Platform, including its software, design, content, trademarks, logos, and functionality, are and remain the exclusive property of ProShift or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for internal business and authorized HR management purposes in accordance with these Terms.

 

9. Confidentiality

 

You acknowledge that the Platform may contain confidential business and employee information. You agree not to disclose, misuse, or improperly access any confidential information made available through the Platform.

This obligation continues even after your access to the Platform is terminated.

 

10. Third-Party Services

 

The Platform may integrate with or rely on third-party services, such as payroll providers, cloud hosting, email systems, SMS gateways, or analytics tools. We are not responsible for the availability, content, or performance of third-party services.

Your use of third-party services may also be subject to their own terms and privacy policies.

11. Fees and Subscription

 

If the Platform is provided under a paid plan, subscription, or enterprise agreement:

  • applicable fees must be paid as agreed
  • fees are non-refundable unless otherwise stated in writing
  • failure to pay may result in suspension or termination of access

Pricing and billing terms may be governed by a separate commercial agreement.

 

12. Suspension and Termination

 

We may suspend or terminate access to the Platform at any time if:

  • these Terms are violated
  • there is suspected misuse, fraud, or unauthorized activity
  • required by law, court order, or regulatory authority
  • an organization’s subscription or agreement ends

Upon termination, access to data may be restricted, deleted, or retained in accordance with applicable law, contractual obligations, and our data retention practices.

 

13. Disclaimer of Warranties

 

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, ProShift disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy.

We do not guarantee that the Platform will be uninterrupted, secure, or error-free.

 

14. Limitation of Liability

 

To the fullest extent permitted by law, ProShift shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm arising out of or related to the use of or inability to use the Platform.

Our total liability for any claim relating to the Platform shall not exceed the amount paid by the applicable customer to ProShift for the services during the [12] months preceding the event giving rise to the claim, or the minimum amount permitted by law if no fees were paid.

 

15. Indemnification

 

You agree to indemnify, defend, and hold harmless ProShift, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising from:

  • your use of the Platform
  • your violation of these Terms
  • your violation of applicable laws or rights of third parties
  • any data or content submitted by you or your organization
  •  
16. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how personal and organizational data is collected, used, stored, and protected.

 

17. Governing Law

These Terms shall be governed by and construed in accordance without regard to conflict of law principles.

 

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in that specific area.

 

18. Changes to Terms

We may update these Terms from time to time. Updated versions will be posted on the Platform with a revised effective date. Continued use of the Platform after such changes means you accept the updated Terms.
